AGREEMENT:

In consideration to receive special contractor pricing from Northern Sound & Light, Inc, I agree to and intend to be legally bound by the following:

1) It is understood that Northern Sound & Light, Inc is the Dealer and that Northern Sound & Light, Inc is not representing or implying that it or any of it's representatives are extending, assigning or granting dealership to the contractor for any product the contractor is purchasing from Northern Sound & Light, Inc.

2) The contractor agrees that all products it purchases from Northern Sound & Light, Inc. will be used for it's sole use, such as rental equipment, or that the products will be used as part of a permanent installation being performed by the contractor.

3) The contractor agrees that it will not represent itself to anyone as an authorized dealer or reseller for any product purchased from Northern Sound & Light, Inc unless the contractor has been set up as a Dealer directly with and by the manufacturer of the product. If the contractor is not a manufacturer's authorized Dealer of the products the contractor purchases from Northern Sound & light, Inc. it will not publically promote the resale of the products it purchases from Northern Sound & Light, Inc. by any means including, but not limited to, verbal representation, printed or electronic correspondence or advertising such as newspaper, magazine, flyers, newsletters, email, radio or television, web site or any other media.

4) The contractor acknowledges that Northern Sound & Light, Inc. does not have the authority to grant to contractor the ability to use the manufacturer's name or logo. Should the contractor desire to utilize the manufacturer's name or logo, such authority must be obtained by contractor directly from the manufacturer. If the contractor uses the manufacturers name or logo without obtaining the manufacturer's permission, the contractor shall indemnify, save and hold harmless Northern Sound & Light, Inc. from any and all damages which it may incur ,including attorneys fees, as a result of contractors actions.

5) The contractor shall identify Northern Sound & Light, Inc. as the dealer when registering the warranty for the product purchased from Northern Sound & Light, Inc. unless the contractor is itself  a manufacturer's authorized dealer. If the contractor fails to properly register the warranty, the contractor shall indemnify, save and hold harmless Northern Sound &Light, Inc. from any and all damages which it may incur, including attorneys fees, as a result of contractors actions. 

6) Northern Sound & Light, Inc. will provide price quotations under the contractors price program which prices will be subject to the right of Northern Sound & Light, Inc. to terminate the Contractor program and the availability to NSL of the merchandise for which the price is quoted. Unless Contractor requests NSL to hold the quoted price for a designated time period acceptable to NSL, Contractor agrees that Contractor's reliance on the quoted price without actually purchasing the merchandise is at the Contractor's risk and NSL will not be bound to the quoted price.

7) The contractor agrees that Northern Sound & Light, Inc may modify the terms and conditions of the contractor program and may at any time terminate the contractor program generally or specifically as to contractor without providing any notice to contractor.

8) Because Northern Sound & Light, Inc is located in McKees Rocks, Pennsylvania, I consent and agree the Courts of Common Pleas of Allegheny County, Pennsylvania, where McKees Rocks (Pittsburgh) is located, shall have exclusive jurisdiction and venue over any controversy arising out of this Agreement.

9) If any provision of the Agreement is ever deemed to exceed the limitation permitted by applicable law, such provisions shall be reformed to set forth the maximum limitations permitted.
